These terms govern your use of the MIXUE Americas franchise application portal. By creating an account, submitting an application, or signing any document through this portal, you agree to these terms.
Who this is for
This portal is for prospective MIXUE franchisees in the United States, Mexico, and Brazil who are at least 18 years old and legally able to enter into a binding contract in their country of residence.
If you are applying on behalf of a company, you represent that you have authority to bind that company to these terms.
Application process
Submitting an application does not entitle you to become a franchisee. Approval is at MIXUE's discretion and is subject to interview, due diligence, regulatory clearance, and a signed franchise agreement.
We may decline any application without cause. We may also pause, suspend, or terminate your application at any stage if information you provided is materially incorrect.
Information accuracy
You agree that the information, documents, photos, and signatures you provide are truthful and accurate to the best of your knowledge.
Knowingly providing false information at any stage is grounds for immediate disqualification and may give rise to civil or criminal liability.
Electronic records and signatures
By proceeding through this portal you consent to receive notices, statements, and contracts electronically and to sign them electronically. Electronic signatures captured through the portal (including via DocuSign) have the same legal effect as handwritten signatures in the United States (ESIGN Act), Mexico, and Brazil.
You may at any time request a paper copy of any document by contacting us through the portal's support form.
Fees and payments
The franchise application process may involve fees disclosed at the appropriate step (for example, an on-site review fee, a deposit on contract execution, and final fees on contract effectiveness). All fees are described in writing before you are asked to pay them.
Refundability of any fee depends on the stage at which the application is terminated and is governed by the applicable franchise law and the franchise agreement itself.
Statutory disclosure period
MIXUE will deliver to you the Franchise Disclosure Document (FDD) before asking you to sign a binding franchise agreement or to pay any consideration. The minimum waiting period between FDD delivery and either signing or payment is set by the law of the jurisdiction you applied from (14 days in the United States, 30 days in Mexico, 10 days in Brazil) and MIXUE will not knowingly close this period prematurely.
Prohibited conduct
Do not impersonate another person, share your login credentials, upload malware, attempt to circumvent access controls, scrape the portal at industrial scale, or use the portal for any unlawful purpose.
We may suspend or close any account that engages in this conduct and may report it to law enforcement.
Disclaimer and limitation of liability
The portal is provided 'as is.' We do not guarantee uninterrupted access; we will make commercially reasonable efforts to keep the service available.
To the maximum extent permitted by law, MIXUE Americas, its parents, affiliates, officers, and employees are not liable for any indirect, incidental, special, or consequential damages arising from your use of the portal. Our total liability for any direct damages arising from these terms is limited to fees you actually paid to MIXUE through the portal in the twelve months preceding the claim.
Governing law and dispute resolution
These terms are governed by the laws of the jurisdiction from which you applied (the United States, Mexico, or Brazil) without regard to its conflict-of-law principles.
Disputes arising from these terms will be resolved by the procedure described in the franchise agreement you sign; in the absence of a signed franchise agreement, disputes will be resolved by the courts of the jurisdiction from which you applied.
Changes to these terms
We may change these terms from time to time. When we do, we will note the change at the top of this page. Material changes will be communicated to applicants whose accounts are active.
